COMPANY OVERVIEW
Lumina Metals Corp. (TSX: LMCU | WSE: LMCU) is a copper-silver exploration and development company advancing the Nowa Sól project in western Poland, one of the largest undeveloped copper-silver deposits in Europe, together with the Sulmierzyce and Mozów properties.
Following its April 2026 initial public offering, with a Warsaw Stock Exchange listing in place and a U.S. listing planned for 2027 to broaden access to the world’s deepest pool of resource capital, Lumina is advancing through the milestones that drive value in a development-stage company: resource growth, economic studies, permitting, and project financing.
The investor relations function is central to building market awareness, sustaining access to capital, and maintaining the confidence of a growing Canadian, U.S., European, and international shareholder base.
POSITION SUMMARY
The Vice President, Investor Relations leads Lumina’s investor relations program and day-to-day investor communications, working under the direction of the CEO and CFO on capital markets strategy.
The role is the primary link between the Company and the investment community, including institutional and retail shareholders, sell-side analysts, brokers, and financial media, and works closely with the CEO, CFO, and Board to ensure the market has an accurate, timely, and compelling understanding of the Company’s strategy, projects, and performance.
A near-term priority is preparing the Company and its investor relations function for a U.S. listing, including positioning with U.S. institutional investors and readiness for U.S. reporting and disclosure obligations.
KEY RESPONSIBILITIES
STRATEGY AND LEADERSHIP
Develop and execute the Company’s investor relations program in support of corporate objectives and financing plans, with the CEO and CFO setting capital markets strategy.
Report to the CEO, CFO, and Board on market sentiment, shareholder feedback, positioning, and capital markets conditions.
Manage the investor relations function, including one direct report and external IR, communications, and marketing consultants.
INVESTOR AND ANALYST ENGAGEMENT
Serve as the primary contact for shareholders, prospective investors, sell-side analysts, and brokers, responding to inquiries promptly and accurately.
Plan and lead roadshows, conferences, site visits, and one-on-one meetings across North America, Europe, and other key markets.
Expand sell-side research coverage and broker relationships appropriate to the Company’s stage and market capitalization.
Develop relationships with U.S. institutional investors, both resource-focused and generalist funds, and support the development of U.S. sell-side coverage ahead of and following the U.S. listing.
Own shareholder base analysis, investor targeting, and monitoring of share register composition and trading activity across both exchanges.
DISCLOSURE AND COMMUNICATIONS
Draft and coordinate news releases, investor presentations, fact sheets, annual report content, and website materials, ensuring consistency with corporate messaging and disclosure obligations.
Work with the CFO and legal counsel to ensure public communications comply with applicable securities laws, exchange policies, and NI 43-101 technical disclosure requirements.
Coordinate multi-jurisdictional disclosure across the TSX, Warsaw Stock Exchange, and the U.S. exchange, including SEC reporting and periodic filings, Regulation FD, and S-K 1300 technical disclosure alongside NI 43-101.
Support the Company’s disclosure practices, including timely and fair disclosure and blackout period communications.
Lead preparation for quarterly results, annual general meetings, and shareholder events, including management scripting and Q&A preparation.
MARKET INTELLIGENCE
Monitor peer performance, sector trends, and commodity markets to inform corporate strategy and messaging.
Track trading activity, analyst estimates, and market perception, reporting regularly to management and the Board.
CAPITAL MARKETS SUPPORT
Support the CEO and CFO on the investor relations workstream for the Company’s planned U.S. listing, including the U.S. investor marketing and roadshow program and IR-side coordination with underwriters, U.S. counsel, the transfer agent, and IR service providers.
Support equity offerings and strategic transactions through investor targeting and marketing materials, partnering with the CFO, investment banks, the transfer agent, and the exchanges on execution, index inclusion, and share structure matters.
Manage the investor relations budget, including conferences, marketing, digital presence, and third-party providers.
QUALIFICATIONS AND EXPERIENCE
8+ years of progressive experience in investor relations, equity research, corporate development, or capital markets, focused on metals and mining.
Bachelor’s degree in business, finance, economics, geology, or engineering; MBA, CFA, or equivalent designation an asset.
Experience with a TSX or TSX-V listed junior or mid-tier mining company, including NI 43-101 and continuous disclosure obligations; familiarity with European capital markets an asset.
Comfort operating in a U.S. regulatory setting (SEC periodic reporting, Regulation FD, S-K 1300 technical disclosure, and Sarbanes-Oxley controls) or a demonstrated ability to get up to speed on it quickly; prior experience with a U.S.-listed issuer or a U.S. listing process is an asset rather than a requirement.
Relationships with U.S. institutional investors and banks, or experience marketing a resource story to U.S. funds, an asset.
Experience operating within a public company reporting cycle, including quarterly results, earnings calls, and AGM and proxy engagement; exposure to say-on-pay, index inclusion, or governance-driven investor outreach an asset.
A network of institutional investors, sell-side analysts, and brokers active in metals and mining an asset.
Track record supporting successful equity financings and shareholder base growth in a junior resource context.
Experience managing staff and external service providers.
